The 30-year-old fell out of favour following lacklustre performances this year and was dropped with teenage Spanish driver Jaime Alguersuari tipped to take his seat for the Hungarian Grand Prix on July 26.
"I'm very disappointed and shocked by the decision taken by Toro Rosso of not allowing me to drive for the team until the end of the current season," said Bourdais in a statement.
"I consider that, in doing so, Toro Rosso has breached its contractual duties. I believe that nothing in my behaviour would legitimate a decision of the team to terminate the contract. I have instructed my lawyers to review the situation including the possibility of issuing legal proceedings."
Earlier, Toro Rosso principal Franz Tost had said: "Last week's German GP was Sebastien Bourdais' last race for Toro Rosso. In his second year with us, the partnership has not met our expectations and therefore we have decided to replace him."
